Pilot Services Agreement

Between SixPM (YusufHJ Limited) and Tahas & Co Ltd · v1.0 — 31 October 2026

Parties

  1. YusufHJ Limited (a company registered in England and Wales, company number 08304394, VAT registration GB153271135), trading as SixPM, whose registered office is at 17 Heybridge Drive, Ilford IG6 1PE, United Kingdom ("SixPM"); and
  2. Tahas & Co Ltd (a company registered in England and Wales, company number 08953016), trading as Tahas Accountants & Tax Advisors, whose registered office is at Suite 3, Second Floor, 760 Eastern Avenue, Newbury Park, London IG2 7HU, and which owns and operates the website tahas.net ("the Client").

1. Services

1.1 SixPM will provide the search, answer-engine and AI-visibility services described in Schedule 1 (the "Services"), as presented in the Tahas pilot proposal of October 2026 (the "Proposal"), in respect of the website tahas.net and the Client's Google Business Profile.

1.2 Work not listed in Schedule 1 is outside the Services. In particular, digital PR and outreach, paid advertising, photography and video production, work on any business other than Tahas & Co Ltd (including Tahas Kimti Ltd), and the design and build of a company-formation website (eincorporate.co.uk) are excluded and may be agreed separately in writing.

2. Term

2.1 This agreement starts on the date it is signed below. The Services run for three calendar months from the Start Date (the "Pilot Term").

2.2 The Start Date is the earlier of (a) the date the Client has provided the access and materials listed in clause 4.1, or (b) seven days after signature.

2.3 Nothing beyond the Pilot Term is pre-committed. In the final two weeks of the Pilot Term SixPM will present the month-3 review described in Schedule 2. Any further phase, its scope and its fee are subject to that review and take effect only if agreed by both parties in writing (email is sufficient). If no further phase is agreed, this agreement ends automatically at the end of the Pilot Term with nothing further payable by either party.

3. Fees and payment

3.1 The fee for the Services is £500 (five hundred pounds sterling) per month, plus VAT at the prevailing rate, payable monthly in advance for each of the three months of the Pilot Term.

3.2 The Client pays by one of two methods chosen on signature: (a) Direct Debit collected by GoCardless, or (b) recurring card payment collected by Stripe. The first payment is collected on set-up and covers month 1; the second and third payments are collected on or about the same day of the following two months. The Client will complete the payment set-up immediately after signing. SixPM issues a VAT invoice for each payment.

3.3 The Pilot Term is a committed three-month engagement. The three monthly fees are payable in full and are non-refundable, except where SixPM has failed to perform the Services and has not remedied that failure under clause 7.3.

3.4 If a payment fails and is not made good within 14 days, SixPM may pause the Services until payment is received; the Pilot Term is extended by the period of any pause.

3.5 No fee is payable for the period after the Pilot Term unless a further phase is agreed under clause 2.3.

4. Client responsibilities

4.1 The Client will provide, promptly and at its own cost, the access and materials set out in the Proposal, namely: registrar or DNS access for tahas.net (or a named contact who can make DNS changes on request); the login for the current website hosting; manager access to the Google Business Profile; ownership or access to Google Search Console and Google Analytics, or permission for SixPM to set them up in the Client's Google account; logo files and brand assets; biographies, photographs and qualifications for the firm's principals; information on the firm's client sectors, typical fee ranges and the countries its clients have ties to; an email address and mobile number for enquiry notifications; and two or three anonymised client stories.

4.2 The Client will review each draft page and approve it or return comments within two working days. The Client is responsible for confirming the technical accuracy of tax and audit content and its compliance with the Client's professional-body rules; SixPM will not publish a page the Client has not approved. Where the Client is late in providing access, materials or approvals, SixPM's delivery dates move back by the same period; the monthly fees are unaffected.

4.3 The Client will ask clients to leave Google reviews using the materials SixPM provides, and will respond to reviews using drafts SixPM supplies. SixPM will not solicit, write or purchase reviews on the Client's behalf.

4.4 The Client confirms it has the right to use, and to let SixPM use, all materials it supplies, and that it owns or controls the domain tahas.net and the Google Business Profile for Tahas & Co Ltd.

4.5 The Client remains responsible for its domain names, the accuracy of factual claims published about its business, and its obligations to its regulator.

5. The rebuilt website

5.1 SixPM will rebuild tahas.net as described in Schedule 1 and the Client authorises SixPM to publish the rebuilt site on tahas.net and to implement redirects from the existing site's URLs.

5.2 During the Pilot Term SixPM hosts the rebuilt site at no additional charge. If the agreement ends without a further phase, SixPM will, at the Client's option, either continue hosting on terms agreed in writing or hand over the site files and content within 14 days so the Client can host it elsewhere.

5.3 SixPM will take reasonable care to preserve existing search visibility during the cut-over but cannot guarantee that rankings or traffic will be unaffected by a site change.

6. Accounts, intellectual property and data

6.1 All accounts created or used for the Client under this agreement (Google Business Profile, Google Search Console, Google Analytics, directory listings, call and form tracking) are held in the Client's name. The Client owns the data in them and keeps access whether or not this agreement continues.

6.2 On payment of the fee for the month in which a deliverable is produced, SixPM assigns to the Client all intellectual property rights in the written content, page designs and schema created specifically for the Client under this agreement.

6.3 The Client retains all rights in its own brand, photographs and other materials. SixPM retains all rights in its pre-existing tools, templates, know-how and methods, and grants the Client a perpetual licence to use any that are embedded in the deliverables.

6.4 SixPM may name the Client as a customer and describe the work in general terms in its own marketing unless the Client objects in writing.

7. Performance and warranties

7.1 SixPM will perform the Services with reasonable skill and care, using appropriately skilled people and tools, including AI-assisted production under human review.

7.2 Search engines and AI assistants are outside either party's control. SixPM does not guarantee any particular ranking, AI citation, traffic level, number of enquiries or revenue. The month-3 measures in Schedule 2 are the agreed basis for reviewing the pilot, not a promise of outcome, and any figures in the Proposal are estimates.

7.3 If any part of the Services is not performed in accordance with clause 7.1, the Client's remedy is for SixPM to re-perform that part within a reasonable time at no extra charge.

7.4 SixPM will not buy links or reviews, guarantee rankings, or use any technique that breaches the published guidelines of Google or of the AI platforms concerned.

8. Liability

8.1 Neither party is liable to the other for loss of profit, revenue, business or goodwill, or for any indirect or consequential loss.

8.2 Each party's total liability under or in connection with this agreement is limited to the fees paid by the Client under it.

8.3 Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited.

9. Termination

9.1 Either party may end this agreement immediately by written notice if the other commits a material breach that is not remedied within 14 days of being asked to, or becomes insolvent.

9.2 On termination the Client pays for Services performed up to the termination date; SixPM hands over any deliverables paid for and any access credentials created for the Client, and clauses 5.2, 6, 8, 10 and 11 continue.

10. Confidentiality and data protection

10.1 Each party will keep the other's non-public business information confidential and use it only for this agreement.

10.2 Each party will comply with applicable data protection law. SixPM will process only the business contact details and enquiry data needed to perform and measure the Services, as the Client's processor, and will not sell or share them.

11. General

11.1 This agreement, the Proposal and the Schedules form the whole agreement between the parties; if they conflict, this agreement prevails. Changes must be agreed in writing (email is sufficient).

11.2 Neither party may assign this agreement without the other's consent, not to be unreasonably withheld.

11.3 This agreement is governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.

11.4 The parties agree that typing a name into the signature box below and submitting this form is a valid electronic signature with the same effect as a handwritten signature.

Schedule 1 — Services (Foundation Pilot)

Month 1 — Fix, measure, claim: kick-off meeting; baseline report (Search Console, Analytics, Google Business Profile insights, rankings for about 40 target terms) and a fixed panel of 30 buyer questions run across ChatGPT, Gemini, Perplexity and Copilot; rebuild of tahas.net on a modern, fast, mobile-ready platform with HTTPS, XML sitemap, robots.txt allowing AI crawlers, llms.txt and Organization, LocalBusiness, Person, Service and FAQ structured data; Google Business Profile corrected (address, categories, services, photos, Q&A, booking link, tracked website link); review-request template and QR card; six service pages rewritten as question-led pages with a named author; an "Our people" page with the principals' biographies, qualifications and audit registration; consistent name, address and phone across about 15 directories and registers.

Month 2 — Publish the answers: four audit pages; four international-tax pages; three local area pages; the site prepared to link with eincorporate.co.uk once that site exists; a mid-pilot re-run of the 30-question panel.

Month 3 — Amplify and prove: four business-setup and outsourcing pages; Google Business Profile posts and Q&A built out; booking form, WhatsApp link, tracked phone number and enquiry source tracking; the month-3 pilot report and review meeting (Schedule 2).

Throughout: a 15-minute weekly call, a monthly one-page dashboard with commentary, and publishing on the Client's website. Fifteen new pages in total.

Schedule 2 — Month-3 review

The month-3 review compares the following with the week-1 baseline: qualified enquiries from organic search and AI assistants; the number of the 30 buyer prompts in which Tahas is named; Google reviews and Google Business Profile actions; target terms on page 1; non-brand Search Console impressions; and technical and entity health. The indicative gate in the Proposal is enquiries up on baseline, Tahas named in 3 or more of the 30 prompts, 25 or more Google reviews and 8 to 10 target terms on page 1. The review informs the parties' decision under clause 2.3; it does not by itself oblige either party to continue.
