Pilot Services Agreement

Between SixPM (YusufHJ Limited) and Studio 52 Arts Production LLC, Dubai · v1.1 — 30 October 2026

Parties

  1. YusufHJ Limited (a company registered in England and Wales, company number 08304394), trading as SixPM, whose registered office is at 17 Heybridge Drive, Ilford IG6 1PE, United Kingdom ("SixPM"); and
  2. Studio 52 Arts Production LLC (a company registered in Dubai, United Arab Emirates, commercial licence no. 651846), of Business Bay, Dubai, United Arab Emirates, which owns and operates the website studio52.co.uk ("the Client").

1. Services

1.1 SixPM will provide the search-engine-optimisation and web services described in Schedule 1 (the "Services"), as presented in the Studio 52 UK pilot proposal of October 2026 (the "Proposal"), in respect of the website studio52.co.uk.

1.2 Work not listed in Schedule 1 — including directory listings, PR and outreach, paid media, video production, third-party tool subscriptions and work on studio52.tv beyond the canonical and hreflang changes — is outside the Services and may be agreed separately in writing as Phase 2.

2. Term

2.1 This agreement starts on the date it is signed below and the Services run for three calendar months from the Start Date (the "Pilot Term").

2.2 The Start Date is the earlier of (a) the date the Client has provided the access and approvals listed in clause 4.1, or (b) seven days after signature.

2.3 After the Pilot Term the agreement continues month to month on the then-agreed scope and fee until ended under clause 9.

3. Fees and payment

3.1 The fee for the Services is £500 (five hundred pounds sterling) per month, payable monthly in advance.

3.2 The Client is a business established in the United Arab Emirates and has no establishment in the United Kingdom; the Services are therefore outside the scope of UK VAT and no UK VAT is charged. The Client is responsible for any tax, including any reverse-charge VAT, that applies in its own jurisdiction.

3.3 Fees are collected by recurring card payment through Stripe. The Client will complete the card set-up immediately after signing; the first payment is taken on set-up and covers month 1, with subsequent payments taken on or about the same day of each following month. Stripe issues a receipt for each payment and SixPM issues an invoice on request.

3.4 The Pilot Term is a committed three-month engagement. The three monthly fees are payable in full and are non-refundable, except where SixPM has failed to perform the Services and has not remedied that failure under clause 7.3.

3.5 If a card payment fails and is not made good within 14 days, SixPM may pause the Services until payment is received; the Pilot Term is extended by the period of any pause.

4. Client responsibilities

4.1 The Client will provide, promptly and at its own cost: administrative access to the Studio52 website, Google Search Console, Google Analytics and the Google Business Profile; DNS or registrar access (or a contact who can make DNS changes) for the go-live on studio52.co.uk; a contact for studio52.tv; links to the Client’s live review profiles; portfolio videos, client logos, case-study information and indicative pricing as described in the Proposal.

4.2 The Client will review and approve or return comments on each draft within three working days. Where the Client is late in providing access, materials or approvals, SixPM’s delivery dates move back by the same period; the monthly fees are unaffected.

4.3 The Client confirms it has the right to use, and to let SixPM use, all materials it supplies (videos, logos, photographs, client names and testimonials), and that it owns or controls the domain studio52.co.uk and is entitled to contract in respect of it.

4.4 The Client remains responsible for its domain names, hosting subscriptions, and the accuracy of factual claims published about its business.

5. Go-live of the rebuilt website

5.1 The Client authorises SixPM to publish the rebuilt website, currently previewed at studio52.sixpm.studio, on studio52.co.uk, and to implement redirects from the existing site’s URLs.

5.2 SixPM will take reasonable care to preserve existing search visibility during the cut-over but cannot guarantee that rankings or traffic will be unaffected by a site change.

6. Intellectual property

6.1 On payment of the fee for the month in which a deliverable is produced, SixPM assigns to the Client all intellectual property rights in the written content, page designs and case studies created specifically for the Client under this agreement.

6.2 The Client retains all rights in its own brand, videos, photographs and other materials. SixPM retains all rights in its pre-existing tools, templates, know-how and methods, and grants the Client a perpetual licence to use any that are embedded in the deliverables.

6.3 SixPM may name the Client as a customer and describe the work in general terms in its own marketing unless the Client objects in writing.

7. Performance and warranties

7.1 SixPM will perform the Services with reasonable skill and care, using appropriately skilled people and tools, including AI-assisted production under human review.

7.2 Search engines are outside either party’s control. SixPM does not guarantee any particular ranking, traffic level, number of enquiries or revenue, and any figures in the Proposal are estimates, not commitments.

7.3 If any part of the Services is not performed in accordance with clause 7.1, the Client’s remedy is for SixPM to re-perform that part within a reasonable time at no extra charge.

8. Liability

8.1 Neither party is liable to the other for loss of profit, revenue, business or goodwill, or for any indirect or consequential loss.

8.2 Each party’s total liability under or in connection with this agreement is limited to the fees paid by the Client under it in the twelve months before the claim arose.

8.3 Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited.

9. Termination

9.1 After the Pilot Term, either party may end this agreement on 30 days’ written notice (email is sufficient).

9.2 Either party may end this agreement immediately by written notice if the other commits a material breach that is not remedied within 14 days of being asked to, or becomes insolvent.

9.3 On termination the Client pays for Services performed up to the termination date; SixPM hands over any deliverables paid for and any access credentials created for the Client, and clauses 6, 8, 10 and 11 continue.

10. Confidentiality and data protection

10.1 Each party will keep the other’s non-public business information confidential and use it only for this agreement.

10.2 Each party will comply with applicable data protection law. SixPM will process only the business contact details needed to perform the Services and will not sell or share them.

11. General

11.1 This agreement, the Proposal and Schedule 1 form the whole agreement between the parties; if they conflict, this agreement prevails. Changes must be agreed in writing (email is sufficient).

11.2 Neither party may assign this agreement without the other’s consent, not to be unreasonably withheld.

11.3 This agreement is governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.

11.4 The parties agree that typing a name into the signature box below and submitting this form is a valid electronic signature with the same effect as a handwritten signature.
